Legal Structure & Registration
Board of Directors
Our Board of Directors serves in a voluntary capacity and is responsible for the strategic direction, financial oversight, and governance of Thanksgiving Australia Incorporated. Directors are appointed in accordance with our Constitution and the ACNC Governance Standards.
Dr. Michael Rizk
Chair & PresidentGeneral Practitioner with over twenty years of clinical practice in Western Sydney. Michael has led TGA since its establishment, bringing a deep commitment to community service and a strong understanding of the communities we serve.
Mr. Peter Youssef
TreasurerChartered Accountant with extensive experience in the not-for-profit sector. Peter oversees TGA's financial management, budgeting, and compliance with ACNC and ATO reporting requirements.
Mrs. Mariam Ishak
SecretaryLegal professional with a background in corporate governance and regulatory compliance. Mariam ensures TGA meets its statutory obligations and maintains best-practice governance standards.
Mr. George Attia
DirectorCommunity leader with deep connections to the Coptic community in Australia and a long track record of volunteer service. George advises on programme alignment with community priorities.
Mrs. Nadia Barsoum
DirectorEducator and community development professional. Nadia provides strategic guidance on TGA's education programmes across all five partner countries.
Constitution & Governing Documents
Thanksgiving Australia Incorporated is governed by a formal Constitution adopted at incorporation and registered with NSW Fair Trading. The Constitution sets out the objects of the association, the rights and obligations of members, the powers and duties of the Board, and the rules for meetings, financial management, and winding up.
The Constitution requires that TGA operates exclusively for charitable purposes, with all income applied solely towards promoting those purposes. No portion of TGA's income or property may be distributed to members except as reimbursement for authorised expenses.

Financial Reporting & Transparency
We believe donors have the right to know exactly how their gifts are used. That is why we are committed to full financial transparency.
TGA prepares annual financial statements that are independently reviewed in accordance with ACNC requirements. Our financial statements are lodged annually with the ACNC and are publicly available on the ACNC Charity Register.

TGA's financial year runs from 1 July to 30 June. Annual Information Statements and financial reports are submitted to the ACNC within six months of the end of each financial year.

Conflict of Interest Policy
All Board members and key personnel are required to disclose any actual, potential, or perceived conflicts of interest. Where a conflict exists, the individual must abstain from related decision-making.
Whistleblower Policy
TGA maintains a whistleblower policy in compliance with the Corporations Act 2001 (Cth), providing a clear pathway for reporting suspected misconduct, fraud, or illegal activity. Reports may be made confidentially and without fear of reprisal.
Privacy Policy
Our Privacy Policy governs how we collect, use, store, and disclose personal information in accordance with the Privacy Act 1988 and Australian Privacy Principles.
Child Safeguarding Policy
Given our work with children through education programmes in multiple countries, TGA maintains a rigorous Child Safeguarding Policy aligned with ACFID standards, including mandatory background checks for any personnel working with children.
Anti-Bribery & Corruption Policy
TGA has zero tolerance for bribery or corruption in any form. All partners and contractors are expected to comply with Australian anti-bribery laws and international standards.
